CONTRACT FOR THE STORAGE OF GOODS

This Contract for the Storage of Goods (“Agreement”) is entered into on ____________, 20___by and between _________________a corporation organized and existing under the laws  of [STATE] with its head office located at: _______________________________,
(“Depositor”) And ___________________, a corporation organized and existing under the laws of [STATE] with its head office located at: _______________________________,
(“Warehouseman”). 

  1. TERM OF AGREEMENT

This agreement shall be in effect for [NUMBER] months, starting on [DATE], and ending on [DATE].

  1. STORAGE OF GOODS
    1. All charges for storage are per [PACKAGE OR OTHER AGREED UNIT] per [week/month/year]. OR at the fixed rate of [storage fee] per [time unit (week, month, year)].
    2. Storage charges take effect on the date that the Warehouseman accepts the supervision and safekeeping of Goods, regardless of the unloading date or the date of issue of any warehouse receipt.
    3. Except as provided in paragraph 4 of this section, a full month’s storage charge shall apply on all Goods received between the first and the fifteenth, inclusive, of a calendar month; one-half month’s storage charge shall apply on all Goods received between the sixteenth and last day, inclusive, of a calendar month; and a full month’s storage charge shall apply to all Goods in storage on the first day of the next and succeeding calendar months. OR All goods received after the first of the month will be charged on a pro-rata basis for that first month as described herein: (text field to explain how it will be pro-rated). All such storage charges are due and payable on the first day of storage for the initial month and thereafter on the first day of the calendar month.
    4. As mutually agreed on by the Warehouseman and the Depositor, a storage month shall extend from a date in one calendar month to, but not including, the same date of the next and all succeeding months. All storage charges are due and payable on [the first/last/15th day of the storage month].
  2. HANDLING OF GOODS
    1. The handling rates set forth in Section One cover the ordinary labor involved in receiving Goods at the warehouse door, placing Goods in storage, and returning Goods to the warehouse door. Handling charges are due and payable on receipt of Goods.
  3. Amendment: 

This Agreement may be amended or modified only by a written agreement, duly signed by both the Lender and the Borrower.

  1. Notices: 

Any notice or communication under this Loan must be in writing and sent via In-Person Delivery only.

  1. No Waiver: 

Borrower shall not be deemed to have waived any provision of this Agreement or the exercise of any rights held under this Agreement unless such waiver is made expressly and in writing. Waiver by Borrower of a breach or violation of any provision of this Agreement shall not constitute a waiver of any other subsequent breach or violation.

  1. Severability: 

In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, the remaining provisions shall not be affected and shall continue to be valid and enforceable as though the invalid or unenforceable parts had not been included in this Agreement.

  1. Assignment: 

Lender shall not assign this Agreement, in whole or in part, without the written consent of Borrower. Borrower may assign all or any portion of this Agreement with written notice to Lender .

  1. Governing Law: 

This Agreement shall be governed by and construed in accordance with the laws of the State of ____________________, not including its conflicts of law provisions.

  1. Disputes:

Any dispute arising from this Agreement shall be resolved in the courts of the State of ____________________.

  1. Entire Agreement: 

This Agreement contains the entire understanding between the parties and supersedes and cancels all prior agreements of the parties, whether oral or written, with respect to such subject matter.
