CONSULTING AGREEMENT

Consulting Agreement between [INSERT NAME OF CLIENT], [INSERT COMPANY DETAIL], and [INSERT

  1. It is hereby stated that [INSERT NAME OF CONSULTANT] agrees to perform the consulting services which set forth in [INSERT DETAIL] that is attached hereto. The said consulting services shall be executed during the [INSERT DETAIL]. These are scheduled at the time and locations stated in this Agreement.

  1. Under this Consulting Agreement, [INSERT NAME OF CONSULTANT] must take over as an independent contractor. personally execute the consulting services stated herein. Both parties shall not assign any detail of this Consulting Agreement. This will remain in force for the given period set in [SPECIFY AGREEMENT SECTION]. Both parties have the full right to terminate this agreement at any given period of time, providing a written notice of termination to the other party. 

  1. [INSERT NAME OF CONSULTANT] justifies that he (or she) shall carry out the assigned consulting tasks. These tasks are submitted through this Agreement in conformity with professional standards. As for compensation which set full work and rights granted by [INSERT NAME OF CONSULTANT], [INSERT NAME OF CLIENT] shall pay the said fee set forth in this Agreement. Henceforth, such fees shall also compensate [INSERT NAME OF CONSULTANT] for all costs incurred. [INSERT NAME OF CONSULTANT] must affirm invoices that contain itemized receipt to [INSERT NAME OF CLIENT]. This is in conformity with the [INSERT DETAIL] and [INSERT DETAIL]. Supporting documentations should be required as stated in this Agreement. After the task has been performed, [INSERT NAME OF CLIENT], must pay each task within [SPECIFY HOW MANY DAYS] of receipt, otherwise stated on the terms and conditions of this Agreement.

SETTLEMENT OF DISPUTES, GOVERNING LAW & ARBITRATION

  1. Any dispute and/or difference arising out of, or relating to this agreement including interpretation of its terms will be resolved through joint discussion by the authorized representatives of both the parties. Moreover, if the disputes are not resolved by discussion then the matter will be referred for adjudication to the Arbitration of a Sole arbitrator.
  1. This Agreement shall be governed by the laws of India.  The Courts in Mumbai (City Name) shall have exclusive jurisdiction over the subject matter of this Agreement.
  1. In the event of any dispute or differences arising out of or in connection with this agreement, the parties hereto, agree to resolve their dispute by a sole arbitrator chosen by the parties in fast track procedure under the provision of [STATE THE LAW]. The award under this section shall be made within a period of 6 months from the date of commencement of the arbitral tribunal proceedings.
  1. The arbitration proceedings shall be conducted in English. The place of Arbitration shall be Mumbai (City Name). The award passed in the arbitration proceedings shall be final and binding on both the parties.
  1. The cost of arbitration proceedings shall be equally borne by both the parties.
  1. Each party shall individually bear the fees of their respective Advocate/Counsel for the proceedings.

The provisions of this Consulting Agreement by their terms are hereby stated including those with utmost confidentiality. Furthermore, both parties have the right to terminate or continue this Consulting Agreement given there is written consent intended for the other party. This Agreement is signed by each of the parties hereto.
